Terms of Use for KwikUI

Effective Date: April 15, 2025

Welcome to KwikUI, a product by Pixorr Technologies Inc. ("we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of our services, including the KwikUI web application (www.kwikui.com), Chrome Extension (KwikSnap), and any other products or services offered by Pixorr Technologies Inc. (collectively, the "Service"). By accessing or using KwikUI, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use our Service. By using KwikUI, you represent that you are of legal age and have the authority to enter into these Terms.

2. User Accounts

To access and benefit from specific features of the Service, you may be required to register and create a personal account. By doing so, you expressly agree to the following responsibilities:

• Provide truthful, current, and complete information during the registration process and maintain its accuracy over time;
• Maintain the confidentiality of your login credentials and ensure they are not shared with any unauthorized individuals;
• Assume full accountability for all activities conducted under your account, whether authorized by you or not.

Failure to comply with these obligations may result in immediate suspension or permanent termination of your account. In particular, we reserve the right to revoke your access without prior notice if we determine, at our sole discretion, that the information you provided is false, incomplete, or misleading, or if you engage in any conduct that violates these Terms of Use. Your account is a key part of your access to KwikUI, and misuse may result in legal and technical consequences.

3. Subscription Plans & Payments

KwikUI offers Free, Pro, and Power subscription tiers with varying features. By subscribing, you agree to the following terms:

• You agree to pay all applicable fees associated with your chosen plan.
• Subscriptions automatically renew unless cancelled before the renewal date. It is the user's responsibility to manage subscription settings to prevent unwanted charges.
• For annual plans, please note that cancellation is not possible mid-tenure, and the plan will remain active for the entire billing period.
• If a user does not cancel auto-renewal in time and uses the service for more than 7 days after renewal, we are not obligated to provide a refund unless required by law.

Refund Policy

Refunds are handled in compliance with applicable laws and are not guaranteed except in the following situations:

• Where legally mandated;
• Where service was not delivered or failed to function as promised.

All refund requests must be submitted in writing to our support team and must include a detailed explanation of the issue encountered. We reserve the right to deny any request that does not meet these criteria.

Annual Plans

Annual plans are charged once per year at a discounted rate and are meant for users seeking long-term value. These plans cannot be cancelled mid-tenure, and no partial refunds will be issued unless legally required or in the event of a verified service issue on our part.

Pricing Changes

KwikUI reserves the right to modify pricing for any of our plans at any time. However, pricing changes will not affect the current billing cycle of an active subscription.

4. KwikSnap (Chrome Extension)

KwikSnap allows you to capture full-page screenshots of any active webpage and seamlessly export them into the KwikUI interface for prompt generation, UI recreation, or design translation.

• Processing & Security: Screenshots are either processed locally on your device or securely transferred via end-to-end encrypted channels to our servers, depending on user settings and extension permissions.
• Storage & Retention: We do not permanently store screenshots unless explicitly saved as part of a user project. Temporary screenshots are automatically purged unless retained within a saved session.
• User Responsibility: Users must ensure that content captured via KwikSnap complies with all applicable laws, copyright restrictions, and data privacy regulations. Unauthorized capture of protected or sensitive data is strictly prohibited.
• Violation Policy: Any misuse—such as capturing credentials, sensitive user data, or restricted dashboards—will result in immediate suspension of your account and potential legal action.
• Feedback Loop: Users can opt-in to provide anonymized screenshot data for model improvement. Participation is optional and governed by our Privacy Policy.

KwikSnap is a standalone service developed, owned, and operated by Pixorr Technologies Inc., and constitutes one of the multiple offerings within our broader suite of tools and technologies.

As such, we reserve the right to modify, suspend, or discontinue the KwikSnap service at any time and without prior notice. This may occur for operational, security, compliance, or strategic reasons. Users are advised that any discontinuation of KwikSnap will be handled with due communication whenever feasible, but we make no guarantees of service continuity. Your use of KwikSnap remains subject to the broader terms and conditions applicable to all Pixorr Technologies Inc. services.

5. Acceptable Use

You agree to use KwikUI solely for lawful, ethical, and authorized purposes. Any misuse of the platform may result in immediate account suspension, legal consequences, or permanent banning from the service. Specifically, you must not:

• Reverse-engineer, decompile, disassemble, or attempt to replicate any portion of our technology or proprietary systems;
• Use our prompts or outputs derived from KwikUI for building malicious software, engaging in illegal activities, or distributing harmful content;
• Upload, share, or transmit any content that infringes on copyrights, trademarks, trade secrets, patents, or any other intellectual property rights of third parties;
• Attempt to exploit, probe, hack, or gain unauthorized access to our platform, services, data, user accounts, APIs, or backend systems;
• Distribute malware, spyware, or malicious scripts through the platform;
• Circumvent usage restrictions or security mechanisms imposed by the service;
• Use the platform in any manner that could harm, disrupt, overload, or impair our infrastructure or interfere with other users' access and usage.

We reserve the right to report unlawful activity to relevant authorities and cooperate fully with investigations. Any breach of this Acceptable Use Policy is taken seriously and may result in legal action, civil liability, or criminal prosecution.

6. Intellectual Property

All content, technology, and proprietary systems on KwikUI (and all associated products), including but not limited to source code, algorithms, prompts, UI/UX designs, templates, brand elements, documentation, and all other related intellectual property, are and shall remain the sole and exclusive property of Pixorr Technologies Inc. or its licensors. Any unauthorized use, reproduction, or redistribution of our intellectual property is strictly prohibited and may result in legal action.

You retain full ownership rights to the code, UI components, and content you generate through your use of the Service. However, by using KwikUI, you grant Pixorr Technologies Inc. a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and analyze anonymized versions of your generated content solely for the purposes of improving, training, and optimizing our underlying technologies and machine learning models. This license does not include personal or identifiable project data unless explicit consent is provided.

We are committed to protecting your intellectual property rights and maintaining the confidentiality of your private projects. However, your use of the Service does not grant you any ownership or license to our proprietary tools, systems, or technologies, beyond what is explicitly stated herein.

7. Template & Prompt Library

• Free Plan includes limited access to templates;
• Pro and Power Plans grant full library access;
• User-generated prompts/templates submitted to or created within KwikUI may be reviewed by our internal team for quality improvement purposes. Such prompts/templates may be reused, featured, or included in public-facing resources in anonymized form, with all user-identifiable information removed.

By contributing prompts/templates, you acknowledge and grant KwikUI a non-exclusive license to utilize these materials to enhance and expand the quality of our template library.

If you prefer your prompts/templates not be considered for reuse or public access, please contact support with your project ID to opt-out.

8. Storage & Project Limits

• Free Plan: Limited to 1 active project with a maximum retention period of 15 days. After this period, the project will be permanently deleted unless upgraded or exported prior to expiration.
• Pro Plan: Extended storage for up to 25 active projects with a retention window of 90 days per project. Archived projects can be downloaded for offline use.
• Power Plan & Enterprise: Unlimited project storage with long-term retention. Custom archival solutions and dedicated backup options are available for Enterprise users.

General Policy: KwikUI reserves the right to delete expired or inactive content to optimize performance and ensure compliance with data policies. Users are encouraged to regularly back up important projects to avoid accidental data loss.

9. Support

• Free Plan: Community-led support through our public Discord channel. Responses are not guaranteed and depend on community activity.
• Pro Plan: Standard support via email with a typical response time of 24–48 business hours.
• Power Plan: Priority support via email with a response time of 12–24 business hours, plus one-time personalized 1:1 onboarding assistance.
• Enterprise Plan: White-glove support experience, including a dedicated account manager, SLA-based response and resolution times, access to a private support portal, and optional onboarding workshops for internal teams.

Support for all plans includes access to our Help Center, Documentation, and Troubleshooting Guides.

10. Third-Party Links

Our site may contain links to third-party websites for your convenience. Please note that we do not control, endorse, or assume responsibility for the content, policies, or practices of any third-party websites. We encourage you to review their terms and privacy policies before engaging with them.

11. Limitation of Liability

KwikUI, operated by Pixorr Technologies Inc., is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of content.

Outputs generated via our AI may not be error-free, secure, or optimized for all use cases. You are solely responsible for reviewing and validating all outputs before deployment or usage in production environments.

Under no circumstances shall Pixorr Technologies Inc., its affiliates, directors, officers, employees, agents, suppliers, or licensors be held liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to lost profits, lost data, business interruption, or other intangible losses—arising from

1. your use or inability to use the service;
2. any changes made to the service or temporary or permanent termination of the service;
3. unauthorized access to or alteration of your transmissions or data; or
4. any other matter relating to the service.

You acknowledge and agree that your sole and exclusive remedy for any dissatisfaction with the service is to discontinue your use of KwikUI.

12. Indemnification

By using KwikUI, you agree to indemnify, defend, and hold harmless Pixorr Technologies Inc., its officers, directors, shareholders, employees, agents, subsidiaries, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with:

• Your use of the service;
• Your breach of these Terms of Use;
• Your violation of any applicable laws, rules, or regulations; or
• Any content you upload, transmit, or otherwise make available through the platform.

We reserve the right to assume exclusive control of any matter otherwise subject to indemnification by you, and in such cases, you agree to cooperate with our defense of such claims.

13. Privacy Policy

Your use of the Service is also governed by our Privacy Policy. Please review it carefully.

14. Changes to Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Effective Date." Continued use of the Service after changes take effect constitutes your agreement to the revised Terms. If you do not agree, you must stop using the Service.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms of Use or your use of KwikUI, you agree to first attempt to resolve the dispute through informal negotiation with us by contacting our support team.

If a resolution cannot be reached within 30 days, both parties agree to resolve the dispute through binding arbitration in accordance with the laws of the Province of Ontario, Canada. The arbitration shall be conducted in English and in a location mutually agreed upon.

Notwithstanding the foregoing, either party may seek injunctive relief or equitable remedies in a court of competent jurisdiction to prevent actual or threatened misuse of intellectual property or proprietary rights.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles.

Dispute Resolution Process

In the event of any dispute, claim, or controversy arising out of or relating to the Service or these Terms (a "Dispute"), the parties agree to the following process:

1. Informal Resolution

   The parties shall first attempt in good faith to resolve the Dispute through informal negotiation. Either party may initiate this process by providing written notice to the other party, describing the issue in detail.

2. Mediation

   If the Dispute is not resolved informally within 30 days, the parties agree to submit the matter to a neutral, third-party mediator located in Ontario, Canada. The cost of mediation will be shared equally unless otherwise agreed.

3. Binding Arbitration

   If mediation fails, the Dispute shall be finally resolved by binding arbitration administered by a reputable arbitration body in Ontario. The arbitration will be conducted in English and in accordance with the applicable rules of the arbitrator. The decision of the arbitrator shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Exceptions

This dispute resolution process does not apply to:

• Disputes eligible for small claims court;
• Claims seeking injunctive relief, enforcement of intellectual property rights, or breach of confidentiality obligations.

By using KwikUI, you agree to waive any right to a jury trial or to participate in a class action lawsuit, to the extent permitted by law.

16. Partners

KwikUI may, from time to time, include affiliate links on its website or within the platform. These links may direct users to third-party websites or services that are not owned or operated by Pixorr Technologies Inc. When you click on these links, we may earn a commission or affiliate fee at no additional cost to you.

We are not responsible for the content, policies, or practices of any third-party websites. We strongly encourage you to review the terms and conditions and privacy policies of any third-party site you visit via our platform.

Your interactions with third-party websites or services, including any purchases or engagements, are solely between you and the third party, and you agree that KwikUI shall not be held liable for any loss or damage arising from those interactions.

17. Severability

We reserve the right to update, modify, or replace these Terms of Use at any time, with or without prior notice, at our sole discretion. If we make significant changes, we will notify users by email (where possible) or by prominently posting a notice on our website.

Continued use of KwikUI after the effective date of any changes constitutes your acceptance of the revised terms. It is your responsibility to review these Terms periodically for any updates.

If you do not agree with the updated terms, you must discontinue your use of the platform and, where applicable, cancel your subscription prior to the changes taking effect.
